EYOH — Terms of Use

1. Introduction

Dheyo AI Inc. (“Dheyo,” “EYOH,” “we,” “us,” or “our”) provides an AI-powered creative platform designed for the film, media, and storytelling industries (the “Service”).

The Service is made available through our website at https://eyoh.ai (including all subdomains), our mobile applications, and authorized third-party integrations. The Service includes our "Agentic Copilot" tools for storyboard generation, script writing and analysis, pitch deck creation, animatics, and related media workflows.

These Terms of Use (the “Terms”) govern your access to and use of Dheyo’s Services, software, APIs, AI models, and related content. By accessing the Services, you (“you,” “your,” or “User”) agree to be bound by these Terms.

2. Acceptance & Updates

2.1 Agreement to Terms

You represent that you have the legal authority to enter into these Terms. If you are using the Service on behalf of a production company, studio, or agency, you represent that you have the authority to bind that entity.

2.2 Modifications

We may update these Terms periodically to reflect changes in the law or our Service. The revised version will be posted with a new “Last Updated” date. Continued use constitutes acceptance.

3. Registration & Accounts

• Account Security: You are responsible for all activities under your credentials. Given the sensitive nature of pre-production assets (e.g., unreleased scripts), you agree to maintain strict security of your account.
• Eligibility: You must be at least 13 years old. If you are under 18, you may only use the Service with parental or guardian consent.
• Organization Accounts: Accounts registered with a corporate email domain may be subject to the administration and control of that organization.

4. Use of the Services & Agentic Functions

The Service uses generative AI and "Agentic" technologies to process user-submitted content (“Inputs”) and generate creative assets, text, analysis, or workflows (“Outputs”).

4.1 Agentic Copilot Disclaimer

The Service includes "Agentic" capabilities (e.g., breaking down a script, auto-formatting decks, suggesting shot lists). You acknowledge that:

• Human Review Required: The Service is a co-pilot, not a replacement for human judgment. You agree to review all Outputs (including script analysis and scene breakdowns) for accuracy, safety, and suitability before using them in production or pitching.
• Non-Determinism: Due to the nature of AI, results may vary. The Service may generate different Outputs for the same Input at different times.

4.2 License Grant

Subject to these Terms, Dheyo grants you a limited, non-exclusive, revocable license to use the Services for your internal, commercial, or non-commercial purposes, consistent with your subscription tier.

4.3 Restrictions

You may not:

• Reverse-engineer or extract the underlying models or source code;
• Use the Service to generate content that violates third-party copyright, trademark, or rights of publicity (e.g., using a famous actor’s likeness in a storyboard without permission);
• Use the Service to create "deepfakes" intended to deceive or impersonate;
• Scrape or automate access to the Service without authorization;
• Use the Service to build a competing foundational AI model.

5. Content, Input & Output

5.1 Ownership of Inputs

You retain all ownership rights to the scripts, images, notes, and intellectual property you upload (“Inputs”). You grant Dheyo a worldwide, royalty-free license to process these Inputs solely to provide the Service to you (e.g., analyzing your script to generate a storyboard).

5.2 Ownership of Outputs

Subject to your compliance with these Terms, you own the Outputs generated from your Inputs (e.g., the generated storyboard images or revised script lines). You may use them commercially (e.g., in a pitch deck or film), subject to applicable laws.

Note on IP: Dheyo does not guarantee that AI-generated Outputs are copyrightable under your local laws.

5.3 Service Improvement & Training

• Standard Users: Unless otherwise stated in your plan, Dheyo may use anonymized Inputs and Outputs to refine its models.
• Enterprise/Business Users: If you are on an Enterprise plan or have opted out via settings, Dheyo will not use your Inputs (e.g., confidential scripts) to train our foundational models.

5.4 Intellectual Property & Likeness Rights

You are solely responsible for ensuring you have the necessary rights to all Inputs.

• Likeness: If you upload images of specific actors or individuals for storyboard consistency, you warrant that you have the right to use their likeness.
• Copyright: You warrant that you own or have the license to any scripts or source material you upload for analysis.

6. International Use & Export Compliance

The Service is operated from the United States. You represent that you are not located in a country subject to U.S. government embargo (e.g., sanctioned jurisdictions) and are not a prohibited user under U.S. export control laws.

7. User Conduct & Acceptable Use

You agree not to use the Service to generate:

• CSAM: Child Sexual Abuse Material (strictly prohibited and reported).
• Non-Consensual Sexual Content: Deepfakes or sexualized depictions of real individuals.
• Hate Speech: Content promoting violence or discrimination.
• Misinformation: Content intended to mislead regarding public interest events.

We reserve the right to suspend accounts that violate these safety standards.

8. Payments & Subscriptions

• Fees: Services are billed according to the tier selected. Fees are non-refundable except as required by law.
• Cancellation: You may cancel your subscription at any time; access will continue until the end of the current billing cycle.
• Commercial Rights: Free tier users may be subject to attribution requirements or watermark restrictions on Outputs.

9. Intellectual Property Rights (Dheyo)

Dheyo retains all rights to the Service infrastructure, the AI models, the "EYOH" brand, and the interface designs. This agreement does not grant you rights to Dheyo’s underlying technology.

10. Warranties & Disclaimers

The Services are provided “AS IS.” Dheyo makes no warranty regarding:

• The originality of the Output (AI may generate similar cinematic tropes for different users);
• The factual accuracy of script analysis or historical data;
• That the Outputs will not infringe on third-party IP rights if your prompts are similar to existing protected works.

You are solely responsible for legal clearance of your final project.

11. Limitation of Liability

To the fullest extent permitted by law, Dheyo and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or screenplay options). Dheyo’s total liability for any claim shall not exceed the amount you paid to Dheyo in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify Dheyo against any claims, damages, or legal fees arising from: (i) your use of the Service; (ii) your violation of these Terms; or (iii) any allegation that your Inputs or use of Outputs violates the intellectual property or privacy rights of a third party (e.g., a studio or actor).

13. Term & Termination

We may suspend or terminate your access immediately if you violate these Terms (specifically Sections 4.3 or 7). Upon termination, your right to use the Service ends, but Sections regarding IP, Indemnification, and Liability survive.

14. Dispute Resolution & Governing Law

14.1 Governing Law

These Terms are governed by the laws of the State of California.

14.2 Arbitration & Class Action Waiver

Disputes shall be resolved by binding individual arbitration administered by National Arbitration and Mediation (NAM). You waive your right to a jury trial and to participate in class actions.

• Opt-Out: You may opt out of arbitration within 30 days of account creation by emailing legal@dheyo.ai with the subject "Arbitration Opt-Out."
• Venue: If arbitration is not applicable, disputes must be litigated in the federal or state courts of Santa Clara County, California.

15. Miscellaneous

• Severability: If any provision is unenforceable, the remaining provisions remain in full effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Dheyo regarding the Service.
